Terms of Service

These terms govern your use of Materi. They explain what you can expect from us, what we expect from you, and how paid plans, billing and refunds work.

1. Agreement to these terms

These Terms of Service (“Terms”) are an agreement between you and Materi Ltd (“Materi”, “we”, “us” or “our”), a UK company based in London, United Kingdom. They apply to getmateri.com, app.getmateri.com and the Materi workspace, agents and related services (together, the “Services”).

Materi Ltd is a subsidiary of Materi AI, Inc., a Delaware corporation. Materi Ltd is the contracting entity under these Terms and provides the Services.

By creating an account or using the Services, you agree to these Terms and our Refund Policy. Our Privacy Policy explains how we handle personal information. If you use the Services on behalf of an organisation, you confirm that you are authorised to accept these Terms for it, and “you” includes that organisation. If you do not agree, do not use the Services.

If your organisation has signed a separate agreement with us, such as an Enterprise order form, that agreement applies where it conflicts with these Terms.

2. Eligibility and accounts

You must be at least 16 years old to use the Services, and at least 18 (or the age of majority where you live) to buy a paid plan.

Access to Materi is currently by approval or invitation. Requesting access does not create an account or a subscription, and we may accept or decline a request.

You must give accurate account information and keep it up to date. You are responsible for keeping your sign-in details secure and for activity under your account. Tell us promptly at hello@getmateri.com if you think someone has used your account without permission.

3. The Services

Materi is an AI workspace. You and Materi’s AI agents, including workers that learn a recurring task from your feedback, can research, analyse and create spreadsheets, slides and documents, work from connected sources and collaborate with teammates in real time.

We keep improving the Services, so features may be added, changed or removed. If a change materially reduces the core features of a paid plan during a period you have already paid for, we will tell you in advance where we reasonably can, and you may cancel and get a refund of the unused part of that period.

Some features may be labelled beta, preview or experimental. They are offered for evaluation, may change or be withdrawn, and may be less reliable than other features.

4. Plans and AI credits

We offer Free, Pro, Ultra and Enterprise plans. Current prices, AI credit allowances and features are shown on our pricing page. Pro and Ultra are subscriptions billed monthly in advance. Enterprise plans are agreed in a separate order form.

AI credits measure your use of Materi’s AI features. The number of credits a task uses depends on the work and the model involved. Credits:

  • come with your plan: Free credits reset at the start of each calendar month (UTC), and paid allowances renew at the start of each billing period;
  • do not roll over, have no cash value, and cannot be sold, transferred or exchanged for money; and
  • cannot be topped up. When your allowance runs out, new AI runs pause until it resets or you upgrade, and we do not charge overage fees.

Usage is recorded when a run finishes, so a single run can take you past your remaining allowance. We do not charge you for that difference.

We may apply reasonable rate limits and other technical limits to protect the Services and other users.

5. Payments and Paddle

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

When you buy a paid plan, you buy it from Paddle, which resells it to you. Paddle processes the payment, calculates and collects applicable taxes such as VAT and sales tax, and issues your invoices and receipts. Your purchase, including any invoice Paddle issues for an Enterprise plan, is also subject to Paddle’s Buyer Terms. Charges appear on your statement from PADDLE.NET. We never receive or store your full payment card details.

Prices are shown in US dollars. Paddle may show the price in your local currency at checkout, and any applicable taxes are calculated there based on your location.

Your subscription renews automatically at the end of each billing period, and Paddle charges your payment method at the current price for your plan until you cancel. If a payment fails, Paddle may retry it, and we may limit paid features until the payment succeeds.

We may change our prices. We will tell you at least 30 days before a price increase applies to your subscription, and it will take effect from your next renewal after that notice. If you do not agree, you can cancel before it takes effect.

6. Changing or cancelling your plan

  • Upgrades from Pro to Ultra take effect straight away. Paddle charges any prorated amount for the rest of your current billing period, which we show you before you confirm, and you get the same share of Ultra’s extra credits for that period.
  • Downgrades from Ultra to Pro also take effect straight away, with no charge, refund or credit. You keep the credits you have already paid for until your next renewal, which is charged at the lower price.
  • Cancellation is available at any time from Billing settings in Materi. It stops future renewals. Your paid access continues until the end of the current billing period, and your account then moves to the Free plan.

Except as set out in our Refund Policy or required by law, fees you have paid are non-refundable, including for partial billing periods and unused credits.

7. Refunds

Every Pro or Ultra payment comes with a 14-day money-back guarantee. Our Refund Policy explains what it covers and how to request a refund. Paddle issues all refunds, to your original payment method.

Nothing in these Terms affects your statutory rights, including any right to cancel that consumer law gives you where you live.

8. Your content

“Your Content” means anything you submit to, connect to or create with the Services, including files, prompts, messages, comments, instructions and feedback for workers, and the outputs the Services generate for you. As between you and us, you own Your Content.

You give us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display Your Content only as needed to provide, maintain, secure and support the Services for you, and to understand how the Services are used so that we can improve them. Our Privacy Policy describes this, including the service providers, such as AI model providers, that process Your Content for us. The licence ends when Your Content is deleted from the Services, apart from copies we must keep by law or that remain in backups and records for the limited time our Privacy Policy describes.

We do not use Your Content to train AI models, and we use AI model providers under commercial terms that do not allow them to train their models on it.

You are responsible for Your Content. You confirm that you have the rights needed to submit it and to let us process it under these Terms, including content from services you connect. When you share content or invite collaborators, they can view, copy or edit it according to the access you give them.

9. AI features and outputs

Materi uses artificial intelligence to produce analysis, models, text and other outputs. AI outputs can be inaccurate, incomplete or out of date, and the same or similar outputs may be generated for other users. You are responsible for reviewing outputs, including checking figures and sources, before you rely on or share them.

Materi does not provide financial, investment, legal, tax, accounting or other professional advice. Do not treat outputs as a substitute for that advice, or use them as the only basis for decisions that have legal or similarly significant effects on people.

10. Connected services

You can connect third-party services, such as cloud storage, messaging and CRM tools, to Materi. When you do, you authorise us to access the data those services make available under the permissions you grant, and to use it to provide the Services to you. You can disconnect a service at any time.

Third-party services are provided by their operators under their own terms and privacy policies. We are not responsible for them, and we may stop supporting a connection if its provider changes or withdraws access.

11. Acceptable use

You must not, and must not help or allow anyone else to:

  • use the Services in breach of any law, or to infringe anyone’s intellectual property, privacy or other rights;
  • submit or generate content that is unlawful, abusive, harassing, hateful or violent, or that sexually exploits children;
  • upload malware, or interfere with or disrupt the Services, their security or other users;
  • access accounts, workspaces or data without authorisation, or probe, scan or test our systems for vulnerabilities without our written permission;
  • copy, modify, reverse engineer or decompile the Services, except where the law allows this despite this restriction;
  • access the Services by automated means, except through features we provide for that purpose;
  • share accounts, resell access, or get around usage limits, credit allowances or billing;
  • use the Services or their outputs to build a competing product, or to develop AI models that compete with the Services; or
  • use the Services to deceive, defraud or impersonate others, including by presenting AI-generated content as human-created where that is misleading.

We may remove content, or restrict use, that we reasonably believe breaks these rules.

12. Suspension and termination

You can stop using the Services at any time. To close your account and delete its data, contact us at hello@getmateri.com. If you have a paid plan, cancel it first so that it does not renew.

We may suspend or end your access if you seriously or repeatedly breach these Terms, if fees are not paid when due, if the law requires it, or if it is necessary to protect the Services, our users or others from harm. Where reasonable, we will tell you first and give you a chance to fix the problem.

We may also stop offering the Services, or end your subscription for any other reason, by giving you at least 30 days’ notice. If we do, Paddle will refund any fees you have prepaid for the period after your access ends.

When your access ends, your right to use the Services stops. Before then, you can export your documents, spreadsheets and slides one at a time. We will then delete Your Content as described in our Privacy Policy. Provisions that by their nature should continue, including those on content, disclaimers, liability and disputes, survive termination.

13. Our intellectual property

The Services, including our software, designs, text, graphics and the Materi name and logo, belong to Materi and our licensors and are protected by intellectual property laws. Subject to these Terms, we give you a limited, non-exclusive, non-transferable and revocable right to use the Services for your own or your organisation’s internal purposes while your account is active.

If you send us feedback or suggestions, we may use them without restriction or obligation to you.

14. Disclaimers

We provide the Services with reasonable care and skill. Otherwise, to the fullest extent permitted by law, the Services are provided “as is” and “as available”, and we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Services will be uninterrupted, error-free or completely secure, or that outputs will be accurate.

If you are a consumer, you have legal rights if services are not provided with reasonable care and skill or as described. Nothing in these Terms affects those rights.

15. Limitation of liability

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

Subject to that, and to the fullest extent permitted by law:

  • we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business, goodwill or data, arising out of or in connection with the Services or these Terms, even if we were told such loss was possible; and
  • our total liability arising out of or in connection with the Services or these Terms is limited to the greater of the amount you paid for the Services in the 12 months before the event giving rise to the claim, and USterms00.

If you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable care and skill, and the limits above apply only as far as the law where you live allows.

16. Indemnity

If you use the Services for business purposes, you will defend and indemnify Materi and our officers, directors, employees and agents against claims, losses, damages and expenses, including reasonable legal fees, arising from Your Content, your use of the Services in breach of these Terms, or your breach of any law or third-party right.

17. Changes to these terms

We may update these Terms and our Refund Policy, for example to reflect changes to the Services or the law. We will post the updated version on its page and change the date at the top. If a change materially affects you, we will tell you by email or in the Services at least 30 days before it takes effect, unless it must apply sooner for legal or security reasons. If you do not agree, you can stop using the Services and cancel your subscription before the change takes effect. If you keep using the Services after that, the updated version applies.

18. Governing law and disputes

If you have a concern, please contact us first at hello@getmateri.com. Most issues can be resolved quickly this way.

These Terms, and any dispute arising out of or in connection with them or the Services, are governed by the laws of the State of Delaware, without regard to its conflict of law rules. The state and federal courts located in Delaware have exclusive jurisdiction, and you and we consent to their personal jurisdiction.

If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring proceedings in the courts of that country.

19. General terms

  • Entire agreement. These Terms, together with our Refund Policy and any order form, are the entire agreement between you and us about the Services.
  • Transfer. You may not transfer your rights under these Terms without our consent. We may transfer ours as part of a merger, acquisition, reorganisation or sale of assets, or to an affiliate. This will not reduce your rights.
  • Events outside our control. We are not responsible for delays or failures caused by events beyond our reasonable control.
  • Severability and waiver. If any part of these Terms is found to be unenforceable, the rest remains in effect. If we do not enforce a right, we have not waived it.
  • Notices. We may send notices to the email address on your account or show them in the Services. You can send notices to hello@getmateri.com.
  • Language. These Terms are written in English. If we provide a translation, the English version applies as far as the law allows.
